Representative Works
- Acted on behalf of both companies and investors in over 50 financing rounds in 2018 alone. Investment rounds range from the seed stage (millions of yen) to pre-IPO later-stage rounds (billions of yen). Involved in all legal aspects of the financing stage from drafting initial terms sheets to closings.
- Structured various financing deals using convertible equity (J-KISS) and stock options.
- Advised large investment firms in Japan on financing matters, fund formation and operation. Representative work includes assisting an investment firm to invest 20 billion yen as a limited partner in a venture as well as a CVC transaction of 100 billion yen by a publicly traded company.
- Acted as internal counsel for startups that do not have pre-existing in-house counsel. While acting as internal counsel, created various internal policies, terms of use, privacy policies, contract templates, facilitated corporate reorganizations and reviewed new business models.
- Provided legal advice to companies that are preparing to file IPOs.
