When forming or managing a fund, it is important to consider the purpose and attributes of investors prior to formation. There are various fund structures both in and out of Japan that need to be considered. ZeLo’s Global Practice Group consists of lawyers from Japan, US, and Southeast Asia that are familiar with the complicated legal and tax issues that surface from cross-border investments. We first provide advice on the overall fund structure, including whether to structure multiple funds to maximize any tax benefits. For Japanese funds, we provide advice on complicated regulations such as various decrees, guidelines, and rules of self-regulatory organizations that apply to LPS, LLP and other fund structures. For offshore funds, we structure and form funds in both the United States (Delaware, California, and other states) as well as Indonesia. For other jurisdictions, we work closely with reliable local counsel in a cost-effective manner and act as the point of contact so that we can be a clearinghouse for legal issues.

- Advised foreign investors and funds regarding Japanese fund formations, cross-border investments, cross-border transactions and legal due diligence of investment targets
- One of ZeLo’s lawyers is seconded to a renewable energy company and has been providing regular legal service with regard to business development, project finance, investments into power plants (via newly formed SPCs) as well as other investment projects
